1. WHO WE ARE?

1.1. BEST EV 4 ME is an electric vehicle (EV) information platform (the Platform) where the users of the Platform (you or the User) can search for information on various EV models, read ads for EVs for sale (the Ads), post their own Ads, communicate with the other Users, write or read reviews, and use other functions of the Platform, as may be provided on the Platform from time to time.

1.2. The Platform is operated, and the Platform services are provided by MB OEV Group, a limited liability company registered in Lithuania, legal entity code 305968349, registered office address Plytinės g. 29-47, LT-10105 Vilnius, Lithuania (further - we or the Service Provider). 1.3. The Ads and information may be made available on the Platform by the Service Provider or by the Users (both businesses, and natural persons, acting as consumers, as indicated in each Ad). The Service Provider does not offer the possibility to enter into distance contracts with other Users, and therefore the Platform does not constitute an electronic marketplace service as defined in the applicable legislation.

2. WHAT DO THESE TERMS & CONDITIONS MEAN?

2.1. These Terms & Conditions (the Terms) constitute an agreement between us, the Service Provider, and you, the User, and govern your use of the Platform.

2.2. You can use the Platform only if you are allowed under applicable laws to conclude a binding agreement with the Service Provider and only if you comply with these Terms and applicable laws.

3. PLATFORM USE AND ACCOUNTS

3.1. The Platform and its services are provided free of charge, unless otherwise clearly provided on the Platform.

3.2. In order to be able to post your Ads, save your searches, post reviews and use certain other functions of the Platform, you will be asked to create an account on the Platform (the Account).

3.3. The Users may be either natural persons or legal entities. If you act as a natural person, in order to create an Account, you need to be at least 14 years old. By creating the Account, you confirm that you are 14 years old or older or, if you represent a legal entity, that you have the right to represent that legal entity.

3.4. You are responsible for all activities that occur under your Account, and you must ensure the security of your login data, passwords or other data that may be used to access your Account. However, if you notice any unauthorized use of your Account, please contact us immediately by email indicated at the beginning of these Terms.

3.5. To create an Account, you will be asked to provide accurate and complete information about the User and to agree to these Terms and the Privacy Policy. We process the data you provide to us for the purposes and in accordance with procedure described in the Privacy Policy.

3.6. The User may close their Account at any time. The Service Provider may close the Account after twenty-four (24) months of inactivity.

4. ADS AND COMMUNICATION ON THE PLATFORM

4.1. The User having an Account has the right to post their own Ads on the Platform at any time, as well as communicate with the other Users and write reviews by using the communication tools the Platform provides; however, in accordance with these Terms and applicable laws.

4.2. The User who has posted or otherwise made available the Ad, a communication message, a review or any other content (the Content) on the Platform is solely responsible for such Content. All the Content posted or made available by using a User’s Account is deemed to be posted or otherwise made available by that User.

4.3. By making available any Content on the Platform, the User warrants that the Content does not violate or infringe upon any property and/or non-property rights of others and/or applicable laws, and neither the making available of such Content nor the granting of the license to the Service Provider (as described below) contravenes or violates any applicable law or rights and/or interests of other third parties.

4.4. The Users must communicate and write reviews with respect, not insult each other or others.

4.5. When searching for information on EVs or Ads, the search results may be sorted by range, battery capacity, price or other factors chosen by the User. The Service Provider does not set or influence any parameters that determine the ranking of the information or Ads presented to the User in response to a search query, unless otherwise clearly specified on the Platform.

5. WHAT CONTENT IS ALLOWED?

5.1. When posting an Ad for sale, the User must ensure that they legally own the EV or otherwise have the right to sell the relevant EV.

5.2. Any Content posted by the User, including any pictures, videos, descriptions, must be prepared by the User or the User must ensure that they have necessary intellectual property rights, licenses or permits to post such Content on the Platform.

5.3. The Service Provider does not check whether the User who has posted a review on the Platform has actually purchased or used the respective EV.

5.4. The User making available any Content on the Platform, has to ensure that the Content does not violate any applicable laws or rights and interests of any User or any other third party, including, without limitations, that the Content does not:

(a) contain any illegal information or content;

(b) contain any trademarks or other intellectual property of others, unless an explicit consent (permit) has been obtained;

(d) violate or infringe upon any copyright, trademark, other property and/or non-property rights of others and/or applicable laws;

(e) contain any information or other content that may be deemed to be abusive, violent, harmful, harassing, racially, ethnically, sexually or otherwise offensive, infringing privacy of others or defamatory;

(f) violate or encourage any conduct that violates or may potentially violate any applicable laws;

(g) contain nudity, partial nudity or pornography;

(h) seek to harm or exploit children by exposing them to inappropriate content, asking for personal data or otherwise;

(i) contain any virus, malware or otherwise create a risk of any loss or damage to any property (including computer systems, devices, and other hardware) of the Service Provider, the Users or any other persons.

5.5. The Service Provider reserves the right to remove or modify the Content for any reason, including Content that the Service Provider believes is not in compliance with the above rules or otherwise violates these Terms or any applicable laws.

5.6. The Service Provider does not actively monitor each Ad or other Content. However, if at any time the Service Provider becomes aware of the facts or circumstances that any Content posted, modified, used on the Platform violates or infringes or might violate or infringe upon any property and/or non-property rights of others, these Terms and/or applicable laws, the Service Provider shall have the right to immediately without any prior notification of the User who posted, modified or used such Content, remove such Content (or a part of it).

5.7. The Service Provider has the right to provide any competent authority or any other third party having the right to such information, with the username and other details of the User who has posted or modified any Content that violates or infringes or might violate or infringe upon any property and/or non-property rights of others and/or applicable laws.

5.8. If you believe that any Content posted on the Platform violates or infringes upon any copyright or trademark held by you, or other property and/or non-property rights of yours, please contact us immediately by email indicated at the beginning of these Terms.

6. INTELLECTUAL PROPERTY

6.1. Except for the Content made available by the Users, all the trademarks, logos, the domain name used in the Platform, the Platform itself and the website through which you access the Platform, as well as all individual elements thereof, including software, databases, texts, photos, videos, drawings and any material on the Platform and website, any page of the website, graphics and design, and all intellectual property rights in them, will remain with and exclusively belong to the Service Provider and/or other persons. You agree not to copy, alter, or use otherwise any of the above without the separate written consent of the Service Provider and/or another rightsholder.

6.2. When making available any Content on the Platform, the User grants the Service Provider a non-exclusive, royalty-free, transferable, sub-licensable license to copy the Content (or any part of it) posted or otherwise made available by the User on the Platform or reproduce it, whether permanently or temporarily, in any form or by any means whatsoever, to translate such Content, to adapt, amend, modify, alter or otherwise transform it, and to display publicly or communicate to the public the Content, including the making the Content accessible/available to the public via the computer network or the Internet, to the extent needed for the Platform to operate and develop. The license is valid throughout the world, and for the entire and maximum duration of the respective intellectual property rights as indicated in and established by the applicable laws.

6.3. You agree not to make any attempts to inspect or verify the vulnerability of any system or network used to provide the Platform services, not to compromise any security or authentication measures, or attempt to decrypt, reverse engineer, disassemble or modify the software or databases used for the operation of the Platform.

6.4. You may not use the Platform in a manner that could compromise the proper operation, security, integrity of the Platform or related software, or limit the ability of others to use the Platform.

7. LIABILITY

7.1. If you use the Platform in violation of these Terms and/or the Privacy Policy and/or any applicable laws, as determined in our sole and absolute discretion, you agree to indemnify and hold harmless the Service Provider and its officers, directors, employees and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees (including costs of defence of claims, suits or proceedings brought by third parties), in any way related to (a) your access to or use of the Platform and/or (b) the Content made available by you and/or (c) your breach of any of these Terms, Privacy Policy or applicable laws.

7.2. Although we will not be liable for your losses caused by any unauthorized use of your Account, you may be liable for the losses of the Service Provider or others due to such unauthorized use.

7.3. All information requested to be provided when creating an Account and using the Platform must be correct and complete.

7.4. You are responsible for the security of your username, password or other data that allows you to access your Account on the Platform.

7.5. The Platform is provided by us without any warranty of any kind, whether express or implied.

7.6. Although we seek to use only trusted sources of information on various EVs, we do not assume any liability for the correctness of the information made available on the Platform (whether by us or by other Users) or for any decisions you might have made or actions you might have taken based on the information available on the Platform. We accept no responsibility, and do not provide any warranties in respect of the Content made available by other Users. Moreover, we do not guarantee that the EV found on the Platform is the most suitable for you.

7.7. The Platform may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by the Service Provider. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from the Platform, you do so at your own risk and you agree that the Service Provider will have no liability arising from your use of or access to any third-party website, service, or content.

7.8. We may suspend your Account if we suspect any unauthorised use of your Account or receive relevant instructions from public authorities or court.

7.9. We reserve the right to unilaterally, upon thirty (30) calendar days’ notice to you, terminate the agreement with you and permanently close (block) your Account if you are found in breach of the Terms and fail to rectify the breach within a reasonable time frame as of the date of our notice.

8. MODIFICATION AND TERMINATION

8.1. We may change these Terms from time to time for important reasons (e. g., due to changes in legislation, changes to the operation/functionality of the Platform, etc.). If we change the Terms for any other reason, we will notify you of the change fifteen (15) calendar days in advance of the change coming into effect, so that you have time to familiarize yourself with the updated Terms and to decide whether to continue using the Platform or to close your Account. The latest (current) version of the Terms can always be found on the Platform.

8.2. We may discontinue (terminate) or suspend the operation of the Platform at any time.

9. MISCELLANEOUS

9.1. These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania.

9.2. Any disputes, disagreements or claims arising out of or relating to these Terms of Service, or regarding the breach, termination or validity thereof will be settled in Lithuanian courts in accordance with Lithuanian laws. The national consumer rights protection Authorities will be the entities competent to settle out-of-court consumer disputes arising out of these Terms. list of the EU national competent authorities for consumer protection may be found here: https://www.eba.europa.eu/consumer-corner/national-competent-authorities-for-consumer-protection, or a consumer dispute may be solved through the European Online Dispute Resolution platform available at .

9.3. All notices and other communications related to these Terms will be delivered via email: if to the Service Provider – at the email address given in these Terms, if to you – at the email address given in your Account.

9.4. In the event any provision of these Terms is or becomes invalid, in whole or in part, the validity of the remaining provisions will not be affected.
